甲乙雙方遵循自 願、平等、誠信、互惠的原則，就乙方產品在甲方單位進行 合作經營的具體事宜，達成如下協議：

一、雙方合作投放的產品：TTSG-3講解器

二、雙方確定的產品投放地點：____________________________

三、自簽訂協議後，乙方將所需裝置及交與甲方向景 點遊客租 用，講解器所有權屬乙方

四、自協議簽訂後，中英文講解詞由甲方編寫，併發 給乙方，乙 方負責免費製作中英文講解語音，在一年內並可提供四 次的免費語音修改服務，乙方根據甲方需要，也可只製作其 中一種語音。

五、合作模式及結算方式：雙方運營期間，由甲方全 權負責宣傳、推廣、服務等相關工作，乙方不參與經營，只 提供裝置。合同期內按租用裝置數量每單臺每日租金(_____元/ 臺)合作天數計算。甲方最底需要租用乙方臺裝置，最底 合作期限為一年。租金每季度結算一次，由甲方於每季度最 後一天直接匯入乙方帳號。

六、裝置的經營、保管等均由甲方負責，乙方負責產品 的維修，如 裝置出現故障，甲方應及時返回乙方，乙方另提供按租 用裝置6： 1的比例免費提供備用機及耳機，方便故障機及 時更換。備用機乙方不收取租金。裝置如有遺失，由甲方承 擔，丟失裝置甲方按 _______元/臺賠償甲方，乙方於每個季度 末清點機器數量。
